Terms of Service

These Terms of Service govern your access to and use of the Socialyte mobile application, website, and related services (the "Service") operated by Socialyte Labs Inc.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

2. Eligibility and Age Requirements

Minimum age: You must be at least 13 years old to use the Service.

Users ages 13 through 17 receive private accounts by default. Public account settings are not available until you turn 18.

You must provide an accurate date of birth. Providing false age information is a material breach of these Terms and may result in immediate suspension or termination.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly at thesocialyte.com">legal@thesocialyte.com if you believe your account has been compromised.

4. Privacy

Our Privacy Policy at thesocialyte.com/privacy explains how we collect, use, and share information. Users under 18 receive enhanced privacy protections described there, including private accounts by default and restrictions on certain data uses.

5. User Content and License

You retain ownership of content you post, upload, or otherwise make available through the Service ("User Content").

By posting User Content, you grant Socialyte Labs Inc. a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, display, perform, distribute, adapt for technical delivery (including transcoding and formatting), and otherwise use your User Content solely to operate, provide, promote, secure, and improve the Service. This includes making User Content available to other users according to your settings and the features you use.

This license continues for as long as your User Content is available on the Service and for a reasonable period thereafter in backup, cached, or archival copies. If you delete User Content or your account, we will remove or disable public access within a commercially reasonable time, except where retention is required by law, dispute resolution, or legitimate safety and security needs.

You represent and warrant that you own or have all rights necessary to post your User Content and that your User Content does not violate these Terms or applicable law.

6. Content Standards and Conduct

You are responsible for your conduct and for all User Content you provide. You agree not to use the Service to post, upload, or distribute content or engage in conduct that:

  • Violates any applicable law or regulation
  • Infringes intellectual property, privacy, publicity, or other rights of any person
  • Is harassing, threatening, abusive, hateful, exploitative, or harmful
  • Is sexually explicit or otherwise inappropriate for minors
  • Promotes illegal activity, violence, self-harm, or dangerous behavior
  • Contains malware, spam, deceptive schemes, or fraudulent activity
  • Attempts to circumvent safety, security, or access controls

7. Copyright and DMCA

We respect intellectual property rights. If you believe content on the Service infringes your copyright, send a notice to our designated agent as described in our DMCA Policy at thesocialyte.com/dmca.

If you knowingly submit a false infringement notice or counter-notice, you may be liable for damages under applicable law.

8. Platform Role

Socialyte is an online platform that hosts user-generated content. We do not guarantee the accuracy, quality, or legality of all User Content and are not responsible for content posted by users. We may remove or restrict content or accounts that violate these Terms, our policies, or applicable law.

9. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Socialyte Labs Inc. and its officers, directors, employees, contractors, and agents from and against claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your User Content, or your violation of these Terms or applicable law.

10. Payments, Tips, and Creator Plans

Tips and Creator Plan subscriptions are processed by Stripe. By initiating a payment, you authorize Stripe and its processors to charge your selected payment method. Fees and platform charges are disclosed before you confirm a transaction.

Creator payouts are issued through Stripe Connect and may require identity verification, tax information, and compliance with applicable payout rules. We may suspend payouts where fraud, abuse, or legal risk is suspected.

Except where required by law, payments for digital features, tips, and subscriptions are generally non-refundable once completed.

11. Referral Program

Referral rewards may require qualifying activity such as verified sign-ups and watch-time thresholds described in the app. Rewards are non-transferable, have no cash value except as expressly stated, may be changed or discontinued, and may be withheld or reversed in cases of fraud or abuse. Referral links must not be used for spam or misleading promotion.

12. Automated Systems

We may use automated systems to categorize content, recommend videos, detect abuse, and enforce community standards. Automated decisions may be subject to human review where required by law.

13. Suspension and Termination

We may suspend or terminate your access to the Service at any time if we reasonably believe you violated these Terms, created risk or legal exposure for us or other users, or if required by law. You may delete your account through the app where available.

Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, indemnification, and dispute provisions.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOCIALYTE LABS INC. AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE AMOUNT YOU PAID TO SOCIALYTE FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

16. Governing Law and Disputes

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles, except where federal law applies.

Before filing a claim, you agree to contact us at thesocialyte.com">legal@thesocialyte.com and attempt to resolve the dispute informally for at least thirty (30) days. If the dispute is not resolved, you and Socialyte agree that exclusive jurisdiction and venue for claims arising out of or relating to these Terms or the Service will lie in the state or federal courts located in Pennsylvania, and you consent to personal jurisdiction in those courts.

17. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will provide notice through the Service, by email, or by posting updated Terms at thesocialyte.com. Continued use after the effective date of updated Terms constitutes acceptance, except where applicable law requires otherwise.

18. General Provisions

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver of our right to do so later. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy and any policies referenced here, constitute the entire agreement between you and Socialyte Labs Inc. regarding the Service.
